Timothy Lynch currently serves as an Assistant United States Attorney in the Civil Division of the U.S. Attorney’s Office for the Eastern District of New York and has been with the Office since 2003.  Prior to joining the U.S. Attorney’s Office, Mr. Lynch worked as an associate in the New York Office of Paul, Hastings, Janofsky and Walker LLP working in their commercial litigation department.  Mr. Lynch is also a Board Member for the Practicing Attorneys for Law Students Program, Inc. (PALS®), an organization for minorities in the legal profession. Mr. Lynch received his juris doctor in 1999 from Hofstra University School of law where he was the Articles Editor for the Hofstra Law Review.  He did his undergraduate studies at Seton Hall University where he graduated magna cum laude in 1996.

Alison L. Moore is a Vice President and Assistant General Counsel in Worldwide Securities Services at J.P. Morgan.  Prior to joining J.P. Morgan, Alison was a transactional attorney in private practice at several large law firms in New York, beginning her career at Fried, Frank, Harris, Shriver & Jacobson LLP.  She received her B.A., cum laude, from Harvard University in 1997, and her J.D. from Columbia Law School in 2001, where she served as the Business Managing Editor to the National Black Law Journal. 

 In addition to her service on the Board of Directors of PALS, Alison serves on the Board of Governors of The Hotchkiss School and is a member of the Association of the Bar of the City of New York.

Donna Gordon is a partner in the Litigation Department handling complex litigations and internal investigations. Her litigation experience involves a broad range of matters including securities and individual class actions, bankruptcy, insurance defense, contract, fraud, employment, telecommunications, ERISA, and real estate. Ms. Gordon has significant federal and state civil trial and appellate experience.

 Ms. Gordon conducts internal investigations and prepares a comprehensive defense and strategy in response to investigations by government regulators and potential civil litigants. She advises domestic and international clients on corporate governance including complex civil litigations, internal investigations and related parallel proceedings. Ms Gordon represents domestic and international companies and individuals under investigation by the Securities and Exchange Commission, the New York Attorney General, the New York Insurance Department and numerous other state attorneys general and state insurance departments.
 
 Ms. Gordon has extensive e-discovery experience. She counsels clients on e-discovery management issues, data preservation requirements, record retention projects and development of enterprise-wide e-discovery programs. In connection therewith, she also litigates e-discovery disputes.
 
In addition, Ms. Gordon provides pro bono representation to indigent clients. She leads one of the firm’s largest pro bono matters, a plaintiff class action alleging violations of the Fourth and Fifth Amendments as well as several other causes of action against more than 60 individual and entity defendants.

•             Defended energy company in securities class action resulting from recategorization of reserves;

 

•             Defended European insurance-based financial services provider in multidistrict class action litigation involving broker compensation and insurance placement practices;

 

•             Represented MetLife, Inc. before Connecticut Department of Insurance in Form A hearing regarding its $11.8 billion acquisition of Travelers Life and Annuity;

 

             Successfully defended title insurer in breach of contract and consumer fraud action that culminated in three-week jury trial;

 

•             Defended and favorably settled ERISA litigation against insurer by pension and annuity fund trustees alleging insurer breached fiduciary duties and investment contracts;

 

•             Defended insurer against claims of fraudulent activities by rogue agent relating to derivative and option contracts with energy companies; and

 

•             Defended various companies in suits involving insurance coverage, fraud, breach of contract and employment issues.

Marcel Florestal Treasurer

Marcel Florestal is a tax and estate planning attorney/CPA with nearly 11+ years of experience. In addition to tax and estate planning, Mr. Florestal practices business and contract law, probate, nonprofit and elder law. He is a graduate of Fordham University School of Law and is admitted to the Bar of the State of New York and the United States Tax Court.

Mr. Florestal’s unique combinations of communication, legal, and accountancy skills have been strong assets to clients. His skills have been tested in handling some high profile clients and their dealings such as the Reverend Al Sharpton, United States Eastern District Court Judge Sterling Johnson, individuals from the music industry including associates of Roc A Fella Records, and Murder Inc.

Much of Mr. Florestal’s strengths come from his experience in giving back to the community. Accordingly, he is currently a member of various boards – including the One Hundred Black Men of New York.

Prior to Florestal Law Firm, Mr. Florestal was an in-house tax and estate planning attorney with Deloitte & Touche, Tohmatsu, LLP. 

Mr. Florestal also has extensive experience in the entertainment industry. Prior to his position with Deloitte & Touche, Tohmatsu, LLP, he was employed with EMI Capitol Music Group where he handled various royalty contracts, most notably Tina Turner, Garth Brooks, and Hellen Reddy.  

Mr. Florestal has spoken all around the United States as an authority on the topic of tax and estate planning, and has been interviewed by Black Enterprise Magazine as an authority on philanthropic giving and the tax implications thereof.

Mr. Florestal has received various recognition honors, most notably from the United States Attorney’s Office New Jersey District for assisting in the prosecution of white collar crimes.

Paula Edgar, Esq. is a diversity consultant, owner and principal of PGE LLC and currently serves as the Executive Director for Practicing Attorneys for Law Students Program, Inc. (PALS).  PALS is an organization which is dedicated to providing academic support, career development information and networking opportunities to minority law students and new attorneys.  As Executive Director, she focuses on programming and mentoring to aid in the career development of law students and new attorneys of color. Ms. Edgar is particularly invested in the program as she was a PALS mentee as a law student. 

Prior to becoming the Executive Director, Paula practiced law as a Staff Attorney in the Law Enforcement Division of the New York City Commission on Human Rights.  Recently, Ms. Edgar was a participant in the New York City “Strength Through Diversity” Young Professionals Leadership Program; a program designed to identify and energize emerging community leaders committed to promoting mutual understanding among New York City’s diverse ethnic populations.  Ms. Edgar currently serves on the Board of Directors of Teaching Firms of America Schools, a developing nonprofit focused on creating unique elementary charter schools for low income inner city communities.

Ms. Edgar has served as a writer, panelist and speaker on topics related to diversity in the legal profession, networking and mentoring for law students and young attorneys.  Ms. Edgar received her Bachelor of Arts Degree in Anthropology from California State University (Fullerton) and her Juris Doctorate from the City University of New York School of Law.

Joseph M. Drayton

Mr. Drayton has a general litigation practice involving intellectual property, antitrust and complex commercial issues. He has practiced before both state and federal courts as well as the International Trade Commission. Mr. Drayton also counsels clients in all aspects of intellectual property acquisition, transfer, protection and enforcement.

Mr. Drayton has represented leading companies in the telecommunications, media, private equity, pharmaceutical, biotechnology, electronics and retail industries including CanWest Global Communications, Inc., Metro One Telecommunications, Inc., Macronix America Inc., Lutron Electronics, Inc., Pfizer Inc., Wal-Mart Inc., GE Capital Corporation, and Onex Corporation. He has worked on all phases of the litigation process including motion practice, discovery and trial work. Mr. Drayton is experienced in alternative dispute resolution such as arbitration and mediation.

Alphonzo Grant

Alphonzo Grant is a member of the Firm’s Criminal Defense and Investigation Group and also serves as the Firm’s Director of Diversity Initiatives.

 

Mr. Grant graduated from Brooklyn Law School (J.D. 1998) and the State University of New York at Stony Brook (B.A., M.P.S. 1994). He served as the law clerk to the Hon. Edward R. Korman, Chief Judge of the United States District Court for the Eastern District of New York (1998-1999). Mr. Grant, an associate at S&C from 1999 to 2002, returned to the firm in 2006. As an associate he engaged in various aspects of litigation practice, with a focus on antitrust, labor and employment and criminal defense law.

From 2002 to 2006, Mr. Grant served as an Assistant United States Attorney in the Eastern District of New York, assigned to the Violent Crimes and Terrorism Unit. During his tenure as a prosecutor, Mr. Grant prosecuted a wide variety of criminal violations of federal law, including terrorism, racketeering, weapons, narcotics, immigration, money laundering, tax and government fraud offenses.

Mr. Grant is admitted to practice before the United States Court of Appeals for the Second Circuit, as well as the New York State Courts and United States District Courts for the Eastern and Southern Districts of New York.

Mr. Grant has tried several jury trials in federal court and has argued appeals before the United States Court of Appeals for the Second Circuit.

Mr. Grant brings years of relevant experience and commitment to the Director of Diversity position. Throughout his educational and professional life, Mr. Grant has steadfastly championed diversity, serving on several boards and committees focused on enhancing diversity in the legal profession. He heads S&C’s Diversity Management Department, which has the mandate of developing, implementing and coordinating the Firm’s diversity and inclusion initiatives and programs.

Keisha-Ann G. Gray

Keisha-Ann G. Gray is a senior counsel in the Labor & Employment Law Department of Proskauer Rose and co-chair of the Department's Employment Litigation and Arbitration Practice Group.  She is an experienced trial lawyer with a background in both the private and public sectors.  Her practice focuses on civil law with an emphasis on employment discrimination work. Keisha-Ann regularly litigates sexual harassment, age, gender and disability discrimination, retaliation, and wrongful termination claims before federal and state courts, and counsels Fortune 500 companies including, but not limited to, those in the television/entertainment, banking/finance and consumer products industries on issues pertinent to employment law and complaint prevention. 

Prior to joining Proskauer in 2007, Keisha-Ann served as an Assistant U.S. Attorney in the Eastern District of New York.  Among her notable jury trial victories, Keisha-Ann defended the U.S. Postal Service – the largest employer in the United States – against an unlawful termination claim involving allegations of reverse-race and gender discrimination and retaliation.  She also has secured successful defense verdicts and judgments in matters involving allegations of failure to promote, sexual harassment, age, race, national origin and disability discrimination, and constitutional tort.  In addition, Keisha-Ann has written and successfully argued motions before the Second Circuit Court of Appeals.

Prior to having served as an Assistant U.S. Attorney, Keisha-Ann was a federal law clerk for two years to the Honorable Jaime Pieras Jr. in the U.S. District Court for the District of Puerto Rico.  As a result of her clerkship, Keisha-Ann observed first-hand the inner workings of the trial court and gained substantive experience by assisting the Judge in evaluating the numerous single and multiple plaintiff employment discrimination actions that were assigned to his docket. 

In her spare time, Keisha-Ann speaks and lectures regularly on trial practice, employment discrimination matters and diversity and inclusion issues.  She is also the Legal Clinic Columnist for Human Resources Executive Online Magazine.

Keisha-Ann received her B.A., cum laude, from the University of Pennsylvania in 1995, and her J.D. from New York University School of Law in 1998, where she served as a research assistant to Professor Derrick Bell and as staff editor for the Review of Law & Social Change.  Keisha-Ann is admitted to practice in New York State, the District Courts for the Southern and Eastern Districts of New York, the U.S. Court of Appeals for the First and Second Circuits, and the U.S. District Court for the District of Puerto Rico. 

Carole L. Green

Carole Green is a commercial real estate attorney with extensive experience handling real estate leasing, finance, acquisitions, dispositions, development, brokerage and management matters.  She also serves as a securities arbitrator for the Financial Industry Regulatory Authority. 

 Carole is a cum laude graduate of Dartmouth College and a graduate of the Harvard University School of Law, where she was a Legal Methods Instructor and a teaching assistant.  She was associated with Kaye Scholer LLP and Richards & O'Neil, and was Counsel to Petrie Stores Corporation and Vice President and Assistant General Counsel of JPMorgan Chase Bank, N.A. before becoming a contract attorney in 1996.

 Carole was a founding member of Practicing Attorneys for Law Students Program, Inc. and currently serves on its Board of Directors.  She is also a member of the Metropolitan Black Bar Association, the American Bar Association, the New York State Bar Association and the Association of the Bar of the City of New York, where she chaired a subcommittee of the Committee on Career Advancement and Management.

Hosea H. Harvey

Hosea H. Harvey is an Associate General Counsel at Planned Parenthood Federation of America, Inc.  Prior to joining Planned Parenthood, Mr. Harvey was a corporate associate at Cravath, Swaine & Moore LLP, where he specialized in corporate governance/regulations, mergers and acquisitions, contracts, and securities matters. Prior to Cravath, Mr. Harvey clerked for U.S. District Court Judge (now U.S. Circuit Judge) Barrington D. Parker Jr. in New York and for U.S. Court of Appeals Judge Ann Claire Williams in Chicago on the 7th Circuit. Mr. Harvey received his Ph.D. in Political Science in 2005 from Stanford University, where he held a National Science Foundation Fellowship. Mr. Harvey graduated from Dartmouth College in 1995 and Stanford Law School in 2000. While at Stanford Law School, Mr. Harvey served as Vice-President of BLSA, an advisor on the law school's curriculum changes, Articles Editor for the Stanford Law and Policy Review and as an extern for Deputy Attorney General Eric H. Holder, Jr. Mr. Harvey is admitted to the bar of New York State and is a member of the Association of the Bar of the City of New York.


 

 

Adam C. Hemlock

Adam Hemlock is a partner in the firm’s Antitrust practice. He represents clients in a variety of antitrust, intellectual property, commercial litigation, and other legal matters, and has particular experience in the antitrust/intellectual property and international antitrust areas. Mr. Hemlock also has extensive experience working with Japanese clients on a wide variety of litigation, transactional and counseling matters.

Mr. Hemlock has broad experience in all aspects of US antitrust law. He has represented clients in various transactions involving Hart-Scott-Rodino (HSR) filings and federal government antitrust investigations. Mr. Hemlock was a member of the Weil Gotshal team that obtained Department of Justice clearance of American Airlines’ acquisition of TWA. He and other Weil Gotshal attorneys represented NYNEX in its merger with Bell Atlantic, and Hughes Aircraft in its merger with Raytheon. Mr. Hemlock recently represented a major motion picture studio in a Department of Justice investigation of a joint venture that was closed without any enforcement action. Mr. Hemlock has represented clients at all stages of the Hart-Scott-Rodino notification process, and has been successful in obtaining clearance of transactions without the issuance of a “Second Request” by the federal antitrust authorities.
Mr. Hemlock has represented clients in antitrust and other commercial dispute resolution matters. He represented Matsushita Electric Industrial Co., Ltd., the maker of Panasonic products, in obtaining summary judgment and thereby dismissing antitrust claims related to Matsushita’s participation in a patent pool for DVD technology. He also obtained a favorable resolution of patent claims filed against an affiliate of Japan Victor Company (JVC), and has worked on other litigation matters on behalf of Toray Industries, Kyowa Hakko Kogyo, GlaxoSmithKline, Denak, Applied Biosystems, and others.
Mr. Hemlock has developed a strong antitrust/intellectual property practice. He advises US and foreign clients on the antitrust implications of various technology transactions, including joint ventures, technology licensing, joint development agreements, patent pooling, standard setting, information sharing, and other joint conduct. Mr. Hemlock has particular experience in the patent pooling and standard setting areas, where he has counseled multinational corporations on antitrust, intellectual property licensing, and other legal implications in those areas. Mr. Hemlock has represented clients in negotiating and drafting intellectual property licenses, technology development agreements, distribution and dealer agreements, joint venture agreements, and other technology and commercial contracts. Mr. Hemlock has lectured on the antitrust implications of intellectual property licensing at the Practicing Law Institute (PLI) in New York, and has authored articles on the subject as well.
Mr. Hemlock has extensive experience representing Japanese clients. He was seconded from Weil Gotshal from March 1998 through May 2000 to serve in Yokohama, Japan as senior legal counsel for Panasonic Mobile Communications, Japan’s largest manufacturer of wireless telecommunications equipment. At Panasonic, Mr. Hemlock represented the company in many aspects of international law, focusing primarily on the areas of intellectual property, antitrust and commercial contracts. He coordinated the activities of outside counsel in Europe, Asia and the United States, and lectured on various aspects of American commercial, intellectual property and antitrust law. Mr. Hemlock continues to work extensively with Panasonic and other Japanese clients, and has strong familiarity with the Japanese business environment. Mr. Hemlock visits Japan frequently and speaks basic Japanese.
Mr. Hemlock graduated from Fordham Law School and received his undergraduate degree from Cornell University. During law school he served as a legal intern at the Federal Trade Commission, where he worked on several antitrust and consumer protection investigations. 
Taja-Nia Y. Henderson

Taja-Nia Henderson is an associate in the litigation practice group at Arnold & Porter LLP, where her practice focuses on complex commercial litigation. Ms. Henderson's experience includes counseling clients in securities, consumer fraud, government investigations, and land use disputes, and assisting clients with civil litigation in state and federal courts, and administrative appeals of local and federal agency rulings.  In addition to her litigation practice, Ms. Henderson has an active pro bono practice, focusing on civil rights and constitutional law issues.  

Prior to joining the firm, Ms. Henderson served as a law clerk to the Honorable Consuelo B.
